These Terms and Conditions ("Terms") govern your use of the website operated by DAREX PTE. LTD ("we", "us", "our") and, to the extent not superseded by a separate written agreement, your purchase of products and services from us. Please read these Terms carefully before using our website or engaging our services.
1. Definitions and interpretation
"Customer", "you", or "your" means the person or entity using our website or purchasing or receiving our products or services. "Products" means goods supplied by us (including but not limited to generators, components, agricultural products, vegetable oils, and sunflower oil). "Services" means any services we provide (including sale, purchase, service, logistics, and delivery). "Contract" means any agreement between you and us for the supply of Products or Services. Headings are for convenience only and do not affect interpretation.

DAREX PTE. LTD is a private company limited by shares registered in Singapore under Registration No. 202602418C. Our registered office is at 8 EU Tong Sen Street #14-94 The Central, Singapore 059818. Our address for correspondence is 60 Paya Lebar Road, #06-28 Paya Lebar Square, Singapore 409051. We operate in: (1) generators and components — purchase, sale, and service; (2) agricultural products, vegetable oils and sunflower oil — purchase and sale; (3) logistics and delivery. 3. Use of the website
You may use this website only for lawful purposes and in accordance with these Terms. You agree not to use the website in any way that:
- violates any applicable law or regulation;
- infringes the rights of any third party (including intellectual property or privacy);
- is fraudulent, harmful, defamatory, or offensive;
- transmits viruses, malware, or other harmful code;
- attempts to gain unauthorised access to our or any third party's systems or data;
- places an unreasonable load on our infrastructure or interferes with the proper functioning of the website.
We reserve the right to suspend or terminate your access to the website without notice if we reasonably believe you have breached these Terms. 4. Orders and formation of contract
Quotations, catalogues, and information on the website do not constitute an offer. A contract for Products or Services is formed only when we accept your order in writing (including email) or by commencing performance. We reserve the right to refuse or cancel any order at our discretion (e.g. due to pricing error, stock unavailability, or credit concerns). Prices are subject to change without notice until an order is accepted. Unless otherwise agreed in writing, our standard terms of sale and delivery apply to each Contract.
5. Prices, payment, and taxes
Prices are as quoted or as set out in our acceptance of order, and are exclusive of applicable taxes (e.g. GST) unless otherwise stated. You are responsible for all taxes, duties, and customs charges where applicable. Payment terms are as agreed (e.g. net 30 days from invoice, or as specified in our quotation or order confirmation). We may require advance payment or security in our discretion. Late payment may attract interest at a rate permitted by law and we may suspend delivery or services until payment is received. All amounts are payable in the currency specified in the invoice.
6. Delivery, risk, and title
Delivery dates are estimates only and time is not of the essence unless expressly agreed in writing. We are not liable for delay caused by circumstances beyond our reasonable control (see Force majeure). Risk in Products passes to you on delivery (or when we make them available for collection, as applicable). Title in Products remains with us until we have received payment in full for the Products and any other amounts due from you. Until title passes, you must store the Products separately and ensure they are clearly identified as our property.
7. Quality, warranty, and returns
We warrant that Products will conform to their description and will be of satisfactory quality at the time of delivery, subject to any limitations set out in our quotation or order confirmation. Our liability under this warranty is limited to repair, replacement, or refund (at our option) of the defective Products. This warranty does not cover defects caused by misuse, neglect, unauthorised modification, or normal wear and tear. Unless otherwise agreed, returns or cancellations are accepted only in accordance with our written returns policy or where required by law. You must notify us of any defect or short delivery within a reasonable time (e.g. 7–14 days of delivery) to preserve your rights.
8. Intellectual property
All intellectual property rights in the website and its content (including text, graphics, logos, images, and design) are owned by or licensed to DAREX PTE. LTD. You may view and print pages for your personal, non-commercial use only. You must not copy, reproduce, modify, distribute, or use any content for commercial purposes without our prior written consent. Trademarks (including "Darex Energy" and associated marks) are our property; use without permission is prohibited.
9. Limitation of liability
To the maximum extent permitted by applicable law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or business opportunity) arising from your use of the website or from any Contract, whether in contract, tort (including negligence), or otherwise.
- Our total aggregate liability to you in respect of any claim or series of connected claims arising from or in connection with these Terms, the website, or any Contract shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim (or, if no payment has been made, S$1,000).
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
You use the website at your own risk. We do not warrant that the website will be uninterrupted, error-free, or free of viruses.
10. Indemnity
You agree to indemnify, defend, and hold harmless DAREX PTE. LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of the website, your breach of these Terms, or your violation of any law or third-party rights.
11. Force majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, embargo, government action, labour disputes, failure of suppliers or subcontractors, or failure of public or private telecommunications or transport networks. If a force majeure event continues for more than 90 days, either party may terminate the affected Contract on written notice.
12. Termination and suspension
We may suspend or terminate your access to the website or any Contract (where permitted) if you breach these Terms or any Contract, or if we are required to do so by law. Termination does not affect accrued rights or obligations. Provisions that by their nature should survive (including Limitation of liability, Indemnity, Governing law) shall survive termination.
13. General provisions
Entire agreement: These Terms (together with our Privacy Policy and Cookie Policy, and any written Contract) constitute the entire agreement between you and us regarding the website and, where no separate contract applies, the supply of Products and Services. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision. Assignment: You may not assign your rights or obligations without our written consent. We may assign our rights and obligations to any successor or affiliate. Third-party rights: These Terms do not confer any rights on any third party. Notices: Notices to us should be sent to our correspondence address or email above. We may give notice to you by email or postal address that you have provided.
14. Disputes and governing law
These Terms and any non-contractual obligations arising from or in connection with them are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms or the website shall be subject to the exclusive jurisdiction of the courts of Singapore. Nothing in this clause limits our right to bring proceedings against you in any other court of competent jurisdiction.
15. Changes to these terms
We may revise these Terms at any time by updating this page. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms. For orders already placed, the Terms in effect at the time of the order apply unless otherwise agreed. We encourage you to review this page periodically.
